Aim To design and implement an effective system of client side governance that provides the Council with appropriate oversight of the activities of Supplier Including: • A review of existing client monitoring arrangements of Supplier financial arrangements to ensure effective oversight for the shareholder • Identification of opportunities to optimise return to the Shareholder without compromising the ability of Suppliers to meet its business objectives • Recommendations to help codify appropriate officer-level decision making structures for consideration of SixSuppliers investment opportunities (separately to the role of the Shareholders Committee) Objectives 1. Review overall business case and income stream arrangements - make recommendations to maximise Council return without compromising ability of Suppliers to meet its business objectives 2. Review Loan Facility Agreement - provide comments on existing document to optimise Council control mechanisms 3. Other inter-company agreements (land option, HRA development agreement, transfer agreement, legal charge, services agreement) - make recommendations on how best to optimise 4. Governance Board - recommend an effective governance structure for making key Supplier investment decisions and monitoring on-going investment performance (including enforcement of above agreements), to include a review of existing client meeting structure and identify opportunities to strengthen financial oversight and recommend an appropriate mechanism to feed into corporate financial arrangements 5. Work with the internal client team to review and design a suite of company performance reporting requirements to feed into governance structure at 4 6. Proposals for how Supplier financial outputs can effectively feed into MTFS (including sensitivity scenarios) 7. Design a business case review checklist to govern how future schemes are cleared prior to Cabinet 8. Review shareholder agreement and ensure it supports all proposals above and remains State Aid compliant 9. Outline high level tax considerations within corporate structure Outputs 1. List of proposals on how to optimise investment structure (and maximise tax efficiency), as well as supporting recommendations on shareholder agreement 2. Marked up review of Loan Facility Agreement to pass to legal team 3. Marked up review of other key agreements (where draft exists) or key considerations for initial draft 4. Detailed proposal for governance structure, including Terms of Reference and Roles & Responsibilities (and discussion with key stakeholders) 5. Draft templates for proposed performance reports 6. MTFS structure proposals including sensitivity analysis 7. Detailed checklist for business case sign-off (covering both financial and non-financial considerations) 8. Discussion of key tax considerations with relevant Council/Supplier staff
